Annual returns are not optional renewals

CIPC states that all companies and close corporations must file annual returns each year. The filing confirms that the entity remains active and updates registry information.

What accompanies the annual-return process

CIPC's current guidance says the latest Beneficial Ownership declaration and AFS or Financial Accountability Supplement requirements must also be addressed when filing.

Timing and late filing

Companies have 30 business days from the date the annual return becomes due before being considered non-compliant; late filing can result in penalties.

Deregistration risk

CIPC says that when annual returns are not filed for two years the company/CC can be placed into the deregistration process. Final deregistration withdraws the juristic personality, and banks, CSD and service providers may refuse service because the entity no longer exists.

Fees

Annual-return fees are turnover-linked and can change. Use the live CIPC filing system to calculate the amount rather than relying on an old copied fee table.

BXE compliance reminder

BXE can store the company anniversary and surface reminders, but the owner/director must still complete the official CIPC filing.
