A director role is a legal responsibility, not just a title
Directors oversee the company and should understand the company’s legal, financial and operational position. Incorporation does not mean a director can ignore statutory duties or unresolved obligations.
Company records and CIPC
- Keep directors/contact details current.
- File annual returns in the required window.
- Keep beneficial-ownership declarations current.
- Address AFS/FAS requirements.
Tax and financial records
Make sure the company’s SARS profile, returns, provisional tax and any VAT/payroll obligations are managed. Maintain accounting records that support those submissions.
Employees
When the business becomes an employer, PAYE/UIF/SDL obligations may arise. SARS says an employer generally must register for PAYE within 21 business days after becoming an employer unless the stated exception applies.
Solvency, contracts and decisions
Directors should not treat company cash as personal cash. Understand contracts, conflicts of interest, material risks and whether the company can meet obligations.
Insurance and professional advice
Consider whether D&O insurance, professional indemnity, general liability, cyber or other cover is appropriate. Use qualified legal, accounting, tax and insurance professionals when the issue requires professional judgement.
